Introduction
Xequence provides an online software platform that allows developers, individuals, companies, and agencies (the "Customers") to build, manage, and host chatbots (the "Service"). These Terms of Use (the "Terms") govern your use of the Xequence application, services, and website (the "Service" or "Platform"). By using our Service, you agree to comply with these Terms in full. If you disagree with any part of these Terms, you must not use our Service.
By registering with Xequence, you will be required to expressly agree to these Terms. You must be at least 18 years old to use the Service. By using our Service or agreeing to these Terms, you represent and warrant that you are at least 18 years of age. Our Service uses cookies, and by continuing to use our Service, you consent to our use of cookies in accordance with our Privacy and Cookies Policy
1. Acceptable Use
You are fully permitted to use the Xequence application and Services (as well as our API) to resell or build goods and services for commercial purposes, except when your product is materially similar to or designed to directly compete with the Services provided by Xequence. You must not:
a. Use Xequence in any way that causes, or may cause, damage to the Service or impair its performance, availability, or accessibility;
b. Use Xequence for any unlawful, fraudulent, or harmful purposes;
c. Use the Service to transmit or distribute malicious software, including spyware, viruses, or any other harmful computer programs;
d. Conduct systematic or automated data collection (such as scraping or data harvesting) on our website without express written consent;
e. Remove any copyright, trademark, or proprietary notices displayed through the Service;
f. Post or distribute copyrighted materials or trademarks without permission from the owner of such rights;
g. Modify, reverse engineer, decompile, or disassemble any portion of Xequence or its associated software.
2. Subscription to service
Xequence offers a free service with optional paid subscription plans. Paid subscriptions are billed monthly or annually and are non-refundable. There will be no refunds for partial months, upgrade/downgrade charges, or unused months in an open account. Fees are based on our measurement of your use of the Service unless otherwise agreed in writing. Charges are exclusive of taxes, and you are responsible for any taxes or duties imposed by taxing authorities.
Development Fees:
In addition to subscription fees, Xequence may charge non-refundable development fees for custom development or consulting services provided to you, which will be agreed upon before any work is undertaken. These fees are non-refundable under any circumstances, including but not limited to cancellation of the Service or any dissatisfaction with the delivered work.
The base paid subscription plan comes at a fixed price, but additional services or features may incur extra costs, which will vary on a monthly or yearly basis depending on your use and selections.
Paid subscription services may be terminated at any time by the user via the account administration panel
3. Registration and Accounts
To use Xequence, you must register an account by submitting a signup form on our website. Upon confirmation of your email, you will gain immediate access to the Service. You are responsible for maintaining the confidentiality of your account details, including your password, and for all activities that occur under your account.
You agree to notify us immediately if you become aware of any unauthorized use of your account. You must not use any other person's account unless explicitly authorized to do so
4. User Login Details
You must keep your account password confidential. If you become aware of any unauthorized disclosure of your password, you must notify us immediately in writing. You are responsible for any activity occurring under your account, whether or not you authorized such activity, due to failure to keep your login details confidential.
5. Cancellation and Suspension of Accounts
We reserve the right to suspend, cancel, or modify your account at our sole discretion, with or without notice. You may cancel your account through the account control panel at any time.
6. Service Reselling
You are prohibited from reproducing, duplicating, copying, selling, reselling, or exploiting any part of Xequence or its Service without prior written consent from Xequence, granted either directly or through a formal reselling program.
7. Service Interruption
We reserve the right to modify, suspend, or discontinue the Service, either temporarily or permanently. In the event of permanent discontinuation of the Service, we will take reasonable steps to allow customers to withdraw their data.
8. Copyright Notice
We, along with our licensors, own and control all intellectual property rights related to the Service and its content. Except for public domain content or materials for which permission has been granted, you may not copy, modify, publish, transmit, or distribute any content from the Service. We grant you a limited, revocable, non-exclusive license to access and use the Service content solely for your personal or commercial use of the Service, subject to these Terms.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind. We make no representations or warranties regarding the completeness, accuracy, reliability, or security of the Service, or that the Service will be free from viruses or other harmful components. You use the Service at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Xequence and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to errors, unauthorized access to your account, interruption of service, or any other issues outside our reasonable control.
11. Indemnity
You agree to indemnify and hold Xequence and its affiliates, employees, agents, and representatives harmless from any claims, liabilities, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your breach of these Terms.
12. Changes to These Terms
Xequence reserves the right to modify these Terms at any time by posting updated terms within the Service. Continued use of the Service after such changes will constitute your acceptance of the revised Terms.
13. Governing Law and Jurisdiction
